Terms of Service

Effective date: August 25, 2026. Last updated: August 25, 2026.

These Terms of Service (“Terms”) are a contract between you and Epsilon9 doing business as Staytute (“Staytute,” “we,” “us,” or “our”). They govern access to staytute.com and related software, including municipal instances (together, the “Services”).

By accessing or using the Services, you agree to these Terms, the Acceptable Use Policy, the Privacy Policy, the Copyright Policy, and the Cookie / tracking notice. If you do not agree, do not use the Services.

If you use the Services on behalf of a city, town, county, or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

1. The Services

Staytute provides tools that may include:

  • A marketing and information website
  • Short-term rental program administration for Government Customers
  • Operator registration, permitting, or compliance workflows, where enabled
  • Public complaint, tip, or case-intake forms
  • Dashboards, maps, reports, and related records tools

Staytute is software. We are not a law firm, not a code-enforcement officer, and not a substitute for municipal legal advice. Program rules, permit decisions, inspections, penalties, and public-records determinations are made by the applicable Government Customer, not by Staytute.

2. Eligibility

You must be at least 18 years old and able to form a binding contract. You may not use the Services if you are barred under U.S. or Washington law.

3. Accounts

You are responsible for:

  • Providing accurate registration information
  • Keeping credentials confidential
  • All activity under your account

Notify us immediately of unauthorized access. We may refuse, suspend, or terminate accounts that violate these Terms or present a security or legal risk.

Municipal staff accounts are provisioned under the Government Customer’s contract and policies.

4. Government Customer contracts

If you are a Government Customer, your written agreement with Staytute (order form, statement of work, or similar) controls if it conflicts with these Terms. These website Terms still apply to public visitors and operators using an instance, unless the Government Customer’s posted terms say otherwise.

5. Operator and public submissions

If you submit a permit application, registration, complaint, photo, comment, or other content (“User Content”), you represent that:

  • You have the right to submit it
  • It is accurate to the best of your knowledge
  • It does not infringe others’ rights or violate law

You grant Staytute and the relevant Government Customer a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and process User Content as needed to operate the Services and the agency’s program. This license lasts as long as the content is retained under these Terms, the Privacy Policy, and applicable retention law.

False complaints, impersonation, and knowing false statements in a government process may have legal consequences under Washington law, including the Consumer Protection Act and laws against making false statements to public agencies.

Copyright complaints about User Content are handled under the Copyright Policy (17 U.S.C. § 512).

6. License to you

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for their intended purpose. We and our licensors retain all right, title, and interest in the Services, software, trademarks (including Staytute), documentation, and aggregated or de-identified data. You may not copy, reverse engineer, scrape at a volume that impairs the Services, or use the Services to build a competing product, except as allowed by law.

7. Fees

If you purchase a paid plan, you agree to the fees, taxes, and billing terms presented at checkout or in your order form. Unless the order form says otherwise, fees are non-refundable once a billing period starts. We may change prices for future periods with notice.

Public complaint submission and ordinary browsing of staytute.com are not billed to members of the public unless a page clearly says otherwise.

8. Public records and confidentiality

Government Customer data may be public records. Do not assume confidentiality for anything you submit on a municipal instance. See the Public Records Notice.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYTUTE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that:

  • The Services will be uninterrupted, timely, or error-free
  • Maps, parcel matches, listing matches, or compliance flags are complete or accurate
  • A property is lawfully permitted, or that a complaint will be investigated or resolved
  • Content submitted by users or agencies is correct

You are responsible for verifying legal requirements with the applicable jurisdiction.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STAYTUTE AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

These limits do not apply to liability that Washington law does not allow to be limited, including certain liability for fraud or for personal injury caused by negligence where such a waiver is unenforceable.

11. Indemnity

If you are not a Government Customer, you will defend and indemnify Staytute against claims, damages, and reasonable attorneys’ fees arising from your User Content, your misuse of the Services, or your violation of these Terms or law.

Government Customers’ indemnification, if any, is only as stated in their written contract.

12. Suspension and termination

We may suspend or terminate access immediately if you violate these Terms, if required by law, or if needed to protect the Services or others. You may stop using the Services at any time. Provisions that by their nature should survive (including intellectual property, disclaimers, limits of liability, indemnity, and governing law) survive termination.

13. Governing law, venue, and arbitration

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law rules. Exclusive venue for court actions is the state or federal courts located in Grays Harbor County, Washington, unless your Government Customer contract specifies another forum.

For disputes with individual consumers that are not brought by a Government Customer, either party may seek individual binding arbitration administered by JAMS or AAA in Washington. Class actions and class arbitrations are waived to the extent permitted by law. You may opt out of arbitration within 30 days of first accepting these Terms by emailing legal@staytute.com.

14. Changes

We may modify these Terms by posting an updated version. Continued use after the effective date constitutes acceptance. If you are under a written Government Customer contract, changes to that contract require the process stated there.

15. Miscellaneous

These Terms, plus policies linked from them and any order form, are the entire agreement for website and operator use of the Services. If a provision is unenforceable, the rest remains in effect. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale. Failure to enforce a provision is not a waiver.
